ITEM 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On November 30, 2020, D. Geoffrey Armstrong, a member of the Board of Directors (the “Board”) and Chairman of the Audit Committee of Urban One, Inc. (the “Company”), tendered his resignation from the Board effective as of November 30, 2020.   Mr. Armstrong tendered his resignation in light of a potential conflict of interest with his other business interests and his resignation was not the result of any dispute or disagreement between Mr. Armstrong and the Company on any matter relating to the Company’s operations, policies or practices.
