ITEM 2.01.Completion of Acquisition or Disposition of Assets
On April 21, 2023, Radio One Entertainment Holdings, LLC, a wholly owned subsidiary of Urban One, Inc. (the “Company”) closed on the sale of one hundred percent (100%) of its interest (the “Put Interest”) in MGM National Harbor, LLC (“MGMNH”) to MGMNH. The sale was pursuant to the Put Notice issued March 8, 2023, and reported on March 10, 2023, on a Current Report on Form 8-K. The Company received approximately $136.8 million at the time of settlement of the Put Interest, representing the put price. During the quarter ended March 31, 2023, the Company received $8.7 million representing the Company’s annual distribution from MGMNH with respect to fiscal year 2022.
