Radio One, Inc. (the “Company”) will not be able to file its annual report on Form 10-K for the fiscal year ended December 31, 2006, within the prescribed time period without unreasonable effort and expense. The Company is completing its preparation of its financial statements, and its independent registered public accounting firm is in the process of auditing the financial statements of the Company. The Company intends to file its Form 10-K within the 15-day extension period afforded by SEC Rule 12b-25 under the Securities Exchange Act of 1934, as amended.

As previously announced, the Company is undertaking a voluntary review of its historical stock option granting practices and, as a result of that review, management and the Company’s audit committee anticipate that the Company will be required to restate its historical financial statements to record additional non-cash stock-based compensation expense with respect to those stock option grants over the vesting periods of the options. The Company requires additional time to complete the review and determine the appropriate non-cash adjustments to the historical financial statements.
